1. Who we are and what these terms cover

Bridge Convert is a business name of MRX Partners, LLC, a North Carolina company ("Bridge Convert," "we," "us"). These Terms & Conditions ("Terms") cover bridgeconvert.com and its subdomains, the free analysis, scan, audits and models, our videos and other content, our emails, and our calls with you (together, the "Services").

By using the Services, you agree to these Terms and to our Privacy Policy, which explains how we handle your information. If you do not agree, please do not use the Services.

2. Who can use the Services

The Services are for businesses. You must be at least 18. If you use the Services for a company, you confirm you have the authority to act for it, and "you" means both you and that company.

3. The free analysis, scan and tools

• What you ask us to do. When you enter a website, you ask us to review what that site and your business show in public and to prepare findings for you. You confirm you have the right to ask for that.
• What you give us. You agree the details you give us are accurate and yours to share. Please do not send us anyone else's confidential information.
• What the findings are. Scores, benchmarks, estimates and projections are our opinion, built from the information we had and from general industry figures. They are for your information. They are not a promise of results, and they are not legal, tax, accounting or investment advice.
• Our choice. We may decline, pause or end a free analysis or call at any time.
• Changes. We may change or stop any part of the Services.

4. Results, testimonials and paid work

• Results vary. The figures, examples and testimonials on this site describe our own history and individual clients' experiences. They are not typical for every business and they do not predict yours. Your results depend on things we do not control, such as your offer, your market, your team and your follow-through.
• Paid work has its own agreement. Nothing on this site is a binding offer. If we work together, a separate written agreement signed by both of us sets the scope, fees, performance targets, guarantees, refunds and who owns what. Any guarantee described on this site applies only as written in that agreement. If that agreement and these Terms conflict, that agreement wins.
• Booking a call does not make you a client and does not oblige either of us to work together.

5. Content and intellectual property

• Ours. Everything in the Services, including text, design, logos, graphics, video, software, scoring methods and frameworks, is owned by or licensed to MRX Partners, LLC. "Bridge Convert" and our logos are our marks. You get a limited, non-exclusive, non-transferable, revocable license to use the Services for your own internal business purposes.
• Yours. You keep ownership of what you submit. You give us a non-exclusive, royalty-free, worldwide license to use, copy and display it to provide the Services to you. We may also use it in a form that does not identify you or your company to improve our benchmarks and tools.
• Feedback. If you send us ideas about the Services, we may use them freely.

6. Acceptable use

You agree to use the Services lawfully. You may not:

• Send harmful, illegal, defamatory or infringing content.
• Submit a website or details you have no right to submit, or pretend to be someone else.
• Disrupt the Services, probe or get around their security, or access systems or data without permission.
• Use bots, scrapers or other automated means to pull content or run the tools in bulk.
• Copy, resell or reverse engineer the Services, or use them to build a competing product.

7. Communications

By using the Services or contacting us, you agree to receive communications from us electronically, and you agree that electronic notices and agreements meet any legal requirement that they be in writing. You can stop marketing emails at any time with the unsubscribe link or by writing to hello@bridgeconvert.com. Our Privacy Policy has the details.

8. Third-party links and tools

The Services include links to and tools from other companies, such as the booking calendar and video players. They are there for your convenience. We do not control or endorse them, and their own terms and privacy policies apply when you use them.

9. Disclaimers and limits on liability

• "As is." The Services are provided "as is" and "as available." To the fullest extent the law allows, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not promise that the Services will be uninterrupted or error-free.
• Your decisions are yours. You are responsible for the business decisions you make using anything from the Services.
• Limit on damages. To the fullest extent the law allows, MRX Partners, LLC and its owners, officers, employees and agents are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from or related to the Services or these Terms.
• Cap. Our total liability for all claims related to the Services or these Terms is limited to the greater of $100 or the amount you paid us for the Services in the 12 months before the claim.
• Some places do not allow some of these limits. In those places, they apply only as far as the law allows.

10. Indemnification

You agree to defend, indemnify and hold harmless MRX Partners, LLC and its owners, officers, employees, agents and affiliates from any claims, liabilities, damages and expenses, including reasonable attorneys' fees, that arise from your use of the Services, what you submit, or your breach of these Terms.

11. Governing law and disputes

• Governing law. North Carolina law governs these Terms, without regard to its conflict of law rules.
• Talk to us first. Before filing a claim, each of us agrees to send the other a written description of the dispute and to try in good faith to settle it for 30 days. Send yours to hello@bridgeconvert.com.
• Arbitration. Any dispute arising from these Terms or the Services that we cannot settle will be resolved by binding arbitration under the rules of the American Arbitration Association, before one arbitrator, in Mecklenburg County, North Carolina, or by video if we both agree. The arbitrator's decision may be entered in any court with jurisdiction.
• Exceptions. Either of us may bring an individual claim in small claims court, and either of us may go to court to protect intellectual property rights.
• NO JURY AND NO CLASS ACTIONS. YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. CLAIMS MAY BE BROUGHT ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.
• Courts. For anything not subject to arbitration, the state and federal courts in Mecklenburg County, North Carolina have exclusive jurisdiction, and you agree to them.
• Time limit. To the extent the law allows, a claim must be brought within one year after it arises.

12. General

• Whole agreement. These Terms and the Privacy Policy are the whole agreement between us about the Services, apart from any signed agreement described in section 4.
• Severability and waiver. If part of these Terms is found invalid, the rest stays in force. If we do not enforce a right, we have not waived it.
• Assignment. You may not transfer your rights under these Terms without our written consent. We may transfer ours as part of a merger, sale or reorganization.
• Ending access. We may suspend or end your access to the Services if you break these Terms. Sections 5 and 9 through 12 continue after access ends.

13. Changes to these Terms

We may update these Terms. The newest version will always be on this page with a new "Last updated" date. Using the Services after a change is posted means you accept the updated Terms.
